Terms & Conditions

This page is maintained by M.A.D.S AI and sets out the commercial and legal terms that apply to our implementation services and monthly subscriptions.

01Agreement and scope

These Terms & Conditions govern the supply of M.A.D.S AI implementation services and monthly subscriptions. By subscribing, submitting an enquiry form or paying an implementation fee, you confirm that you accept these terms on behalf of your business.

The specific deliverables that apply to you are those listed in the plan you subscribe to (Starter, Growth or Professional) together with any written scope confirmed during onboarding.

02Implementation fees

Implementation fees are one-time charges covering discovery, configuration, AI training, integrations, testing and launch. Implementation fees are payable in full before build work begins unless a written instalment schedule has been agreed.

Implementation begins once payment is received and onboarding material (business information, FAQs, access to required accounts) has been provided. Delays in providing this material extend the delivery timeline accordingly.

03Subscriptions and billing

Monthly subscription fees cover hosting, monitoring, knowledge updates, support and continuing optimisation as described in your plan. Subscriptions begin on the launch date and renew automatically each month.

All fees are quoted in UAE Dirhams (AED) and are exclusive of applicable taxes, including VAT where it applies. Third-party costs such as messaging fees, telephony charges, AI model usage beyond fair use and CRM licences are billed separately or paid directly by you to the provider.

04Cancellation

You may cancel your monthly subscription with 30 days' written notice. Cancellation stops future renewals; it does not entitle you to a refund of the current period or of implementation fees.

On cancellation, AI channels, automations and hosted assistants are deactivated. We can provide an export of your knowledge base content and conversation records on request within 30 days of cancellation.

05Refunds

Implementation fees are non-refundable once build work has commenced, as they represent bespoke work delivered specifically for your business. Where we have not yet commenced work, you may request a refund of the implementation fee.

Monthly subscription fees already invoiced are non-refundable. If a service fault prevents your AI from operating and is not resolved within a reasonable period, we may issue a pro-rata credit at our discretion.

06Your responsibilities

  • Provide accurate, lawful and up-to-date business information for AI training.
  • Hold the necessary rights and consents for any content, brand assets and customer data you supply.
  • Maintain your own accounts with third-party platforms such as WhatsApp Business, Meta, calendars and CRMs.
  • Review AI conversations periodically and notify us of any inaccuracy so it can be corrected.
  • Comply with applicable marketing, telecommunications and data-protection laws when messaging your customers.

07AI limitations

Artificial intelligence is probabilistic. Although we implement approved knowledge bases, guardrails and escalation rules, AI systems can misunderstand a question or produce an incomplete answer. M.A.D.S AI does not warrant that outputs will be error-free, uninterrupted or suitable as professional advice.

Your AI must not be used to give medical, legal, financial or other regulated advice unless a qualified human reviews the output. You remain responsible for commitments made to your customers, including prices, availability and bookings.

08Third-party platforms

Our services depend on third-party platforms and AI providers. Changes to their APIs, pricing, availability or policies may affect functionality. We will make reasonable efforts to adapt, but we are not liable for interruptions caused by third parties or by your own account restrictions.

09Intellectual property

You retain ownership of your business content, brand assets and customer data. M.A.D.S AI retains ownership of its methodologies, prompt frameworks, templates, tooling and underlying platform. On full payment, you receive a non-exclusive licence to use the configured assistants and automations delivered to you for the duration of your subscription.

10Confidentiality

Each party will keep the other party's non-public information confidential, use it only to deliver or receive the services, and protect it with reasonable safeguards. This obligation continues for three years after the engagement ends. It does not apply to information that is public, independently developed, or required to be disclosed by law or a competent authority.

11Service levels and support

Support is provided during UAE business hours by email, with priority response on the Growth and Professional plans. Planned maintenance is communicated in advance where practical. We monitor deployed assistants and address faults as a priority.

12Limitation of liability

To the fullest extent permitted by law, M.A.D.S AI's total aggregate liability arising out of or in connection with the services is limited to the fees paid by you in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill or loss of data.

13Suspension and termination

We may suspend or terminate services for non-payment, misuse of the AI, unlawful activity or breach of third-party platform policies. Where practical, we will give notice and an opportunity to remedy the breach.

14Changes to these terms

We may update these terms to reflect changes in our services or applicable law. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the services after that date constitutes acceptance.

15Governing law

These terms are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute, subject to the parties first attempting good-faith resolution.
